1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") govern your access to and use of the website located at [yourwebsite.com] (the "Site"), your registration for an account, and your purchase of and participation in the referral services offered by KeyFerrals LLC ("Company," "we," "us," "our," or "KeyFerrals").

By accessing the Site, creating an account, or purchasing a membership plan, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the Referral Agreement, Refund Policy, Dispute and Chargeback Policy, Communication Policy, and all other terms and policies incorporated by reference.

If you do not agree with these Terms, do not access the Site or purchase any services.

These Terms are a binding legal contract between you and KeyFerrals LLC. If you are entering into this agreement on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. NATURE OF KEYFERRALS' SERVICES

2.1 Referral Platform, Not Brokerage

KeyFerrals operates a digital referral platform that facilitates connections between clients seeking services and independent, licensed professionals ("Partners") who provide those services. KeyFerrals does not perform the underlying professional services itself, does not act as a broker, agent, or representative in any transaction, and is not a party to any agreement formed between you and any Partner.

2.2 No Guarantee of Outcome

KeyFerrals does not guarantee:

  • That any referral will accept your engagement;
  • That any referral will convert into a client or completed transaction;
  • The quality, responsiveness, or suitability of any referral;
  • Any particular conversion rate, outcome, or result from the services;
  • The number of referrals you will receive in any specific time period (except for the total number included in your selected plan);
  • That any referral will be a good fit for your business needs.

The typical conversion rate for referral services of this type is approximately 10%. This is provided for informational purposes only and is not a guarantee.

2.3 Your Responsibility

You are solely responsible for:

  • Evaluating the suitability of any referral for your business;
  • Engaging with referrals professionally and in good faith;
  • Following up with referrals promptly and thoroughly;
  • Negotiating terms and pricing with referrals;
  • Complying with all applicable laws and professional standards in your industry;
  • The outcome of any engagement with a referral.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Who May Use KeyFerrals

You represent and warrant that:

  • You are at least eighteen (18) years of age;
  • You have the legal authority to enter into this binding agreement;
  • All information you provide is true, accurate, complete, and current;
  • You are not prohibited by law from using our services;
  • You will comply with all applicable laws and regulations;
  • If you are a Partner, you hold all necessary professional licenses and credentials required in your jurisdiction.

3.2 Account Registration

To access certain features of the Site or purchase a plan, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information;
  • Maintain the accuracy of your information;
  • Immediately notify KeyFerrals of any changes to your information;
  • Never register under a false name or on behalf of someone else;
  • Never register multiple accounts without KeyFerrals' written consent;
  • Maintain the confidentiality of your account credentials and password.

You are responsible for all activity that occurs under your account, whether authorized by you or not. Notify KeyFerrals immediately of any unauthorized access or use of your account.

3.3 Right to Refuse Service

KeyFerrals reserves the right to refuse service, deny account registration, or terminate an account at any time, for any reason, in its sole discretion.

4. REFERRAL AGREEMENTS AND MEMBERSHIP PLANS

4.1 Plan Selection and Terms

When you purchase a membership plan, you enter into a Referral Agreement with KeyFerrals. Your Referral Agreement specifies:

  • The membership plan you have selected;
  • The total membership fee and setup fee (if applicable);
  • The total number of referrals included in your plan;
  • The service area and coverage radius you have selected;
  • Any other terms specific to your plan.

4.2 Plan Details

Each membership plan specifies:

  • The total number of referrals included for the service period;
  • The total fee for the plan;
  • Whether lead delivery is guaranteed monthly or over the service term;
  • Any reimbursement of setup fees upon completion of required closings;
  • The service delivery timeline.

Important: The total number of referrals is a committed total, NOT a monthly guarantee. For example, if your plan includes 24 referrals over 12 months, that is 24 total referrals over the year, not 2 per month in every month.

4.3 No Refunds for Plan Changes

Once you have selected and paid for a plan, you cannot change your plan, coverage area, or preferences and receive a refund. If you wish to modify your plan, you must contact KeyFerrals support at support@keyferrals.com. Any modifications are subject to approval and may result in additional fees.

4.4 Membership Fee and Payment

Your membership fee is due upon execution of your Referral Agreement. Payment is processed through a third-party payment processor. By providing payment information, you authorize KeyFerrals to charge the membership fee to the payment method you specify.

All fees are non-refundable except under the specific, limited conditions set out in the Refund Policy.

5. REFERRAL DELIVERY AND SERVICE STANDARDS

5.1 Lead Generation and Delivery

KeyFerrals commits to generating and delivering referrals to you based on the criteria you specify during onboarding, including:

  • Your preferred service area and coverage radius;
  • Your preferred property type or service category;
  • Your price range or project budget preferences;
  • Any other preferences you communicate.

Referrals are delivered via email to your registered email address and/or via text notification to your registered phone number, as specified in your Referral Agreement.

5.2 Lead Vetting and Verification

All referrals provided by KeyFerrals have been sourced, screened, pre-qualified, and verified to confirm:

  • The referral's intent to transact or pursue the service;
  • The referral's contact information accuracy;
  • The referral's fit with the coverage area and requirements specified;
  • The referral is not a duplicate or previously provided referral.

5.3 Your Service Obligations (Section 1.2 of Referral Agreement)

You agree to:

5.3.1 Availability and Responsiveness

  • Be readily available to receive leads via emails, text messages, and phone calls;
  • Respond to referrals promptly and professionally;
  • Provide feedback on each referral within twenty-four (24) to forty-eight (48) hours of delivery (if such feedback is requested).

5.3.2 Service Quality

  • Provide high-quality, professional service to referred clients in accordance with industry standards, professional ethics codes, and applicable laws;
  • Treat each referral with respect and professionalism;
  • Communicate with referrals in a timely manner;
  • Comply with all MLS rules, regulations, and standards if applicable to your industry.

5.3.3 Status Reporting

  • Promptly and accurately report the status of all leads and transactions to KeyFerrals as requested;
  • Notify KeyFerrals in writing immediately upon the successful closing of a lead;
  • Provide documentation of closing (closing statement, commission confirmation, etc.) if requested for reimbursement verification.

Failure to report closing(s) may result in legal action being taken by KeyFerrals under Section 1.2(v) of your Referral Agreement.

5.4 Referral Acceptance and Deemed Acceptance

Under Section 3.1 of your Referral Agreement:

A referral is deemed accepted upon delivery unless you provide written denial within twenty-four (24) hours.

5.4.1 What Constitutes Delivery

  • Email sent to your registered email address;
  • Text alert sent to your registered phone number;
  • Posting in your account portal;
  • Any other method specified in your Referral Agreement.

5.4.2 Consequences of Acceptance
Once a referral is accepted, you irrevocably waive all rights to dispute, deny, or request a refund or replacement for that referral, except where the referral later meets one of the specific qualifying conditions in the Refund Policy (unwilling to transact, non-responsive for 10 working days, already under contract, etc.).

5.4.3 How to Deny a Referral
To deny a referral, submit written notice to support@keyferrals.com within twenty-four (24) hours of delivery. Upon valid denial, the referral is not accepted and does not count against your allocation.

5.5 Lead Exclusivity

Under Section 2.4 of your Referral Agreement, all referrals provided to you are exclusive to you for twenty-four (24) months from the date of referral acceptance. You may not share, transfer, or refer a referral to another agent or broker without KeyFerrals' written consent.

5.6 Live Transfer Acceptance

Under Section 3.4 of your Referral Agreement, if a referral is delivered via live phone transfer (a call connecting you directly with the prospect), the referral is accepted upon successful connection and conversation. If the prospect later loses interest for any reason, KeyFerrals is not responsible for that outcome.

6. PRICING, COMPENSATION, AND FEES

6.1 Membership and Setup Fees

Your Referral Agreement specifies your selected membership plan and the associated:

  • Annual membership fee;
  • Setup fee (if applicable);
  • Any other charges or fees.

These fees are due upon execution of your Referral Agreement and are earned by KeyFerrals upon service delivery. They are non-refundable except under the specific conditions in the Refund Policy.

6.2 Referral Fees

Under Section 4.2 of your Referral Agreement (if applicable to Partners), referral fees are owed to KeyFerrals for any transaction completed with a referred prospect during the Referral Coverage Period (24 months from referral acceptance). Referral fees are calculated as a percentage of net commission earned and are due within fourteen (14) days of commission disbursement.

6.3 Reimbursement of Setup Fees

Under Section 4.3 of your Referral Agreement, if you are a Partner receiving referrals that may result in transactions, you are eligible for full reimbursement of the Setup Fee upon completing the required closing(s) for your selected plan. Reimbursement will be processed within fourteen (14) days of the qualifying closing.

6.4 No Refunds for Third-Party Fees

Under Section 4.6 of your Referral Agreement, referral fees owed to KeyFerrals are not impacted, reduced, or waived by any other referral fees, commissions, or payment obligations you may have with third parties for the same transaction.

6.5 Transfer of Referrals

Under Section 4.7 of your Referral Agreement, if you transfer a referral to another broker or agent, and that broker or agent completes a transaction with the referral during the Referral Coverage Period, you remain responsible for paying the referral fee as if you had directly participated in the transaction.

7. USER CONDUCT AND PROHIBITED BEHAVIOR

7.1 Permitted Use

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to use the Site or Services in any way that violates any applicable law, regulation, or these Terms.

7.2 Prohibited Conduct

You are strictly prohibited from:

7.2.1 False or Fraudulent Information

  • Submitting false, misleading, fraudulent, or inaccurate information to KeyFerrals;
  • Misrepresenting the status of referrals or transactions;
  • Providing false information in connection with refund requests, disputes, or complaints;
  • Creating fake accounts or registering under a false name.

7.2.2 Professional Misconduct

  • Failing to provide professional, ethical service to referred prospects;
  • Violating applicable laws, regulations, or professional standards in your industry;
  • Breaching fiduciary duties or professional obligations;
  • Engaging in fraud, misrepresentation, or unethical conduct.

7.2.3 System Abuse

  • Attempting to circumvent referral fees by engaging with referrals outside the terms of your Agreement;
  • Sharing referral details with other agents or brokers without authorization;
  • Using automated tools or bots to access the Site;
  • Attempting to gain unauthorized access to KeyFerrals systems or accounts;
  • Reverse-engineering or attempting to extract data from the Site.

7.2.4 Abusive or Unprofessional Conduct

  • Using abusive, offensive, threatening, or unprofessional language toward KeyFerrals staff;
  • Harassing, intimidating, or threatening anyone associated with KeyFerrals;
  • Making false accusations or threats;
  • Engaging in conduct that reflects a deviation from accepted standards of morality, decency, or professional conduct.

7.2.5 Dispute Abuse

  • Filing chargebacks without following the required refund request process;
  • Filing false or bad-faith refund requests or disputes;
  • Providing misleading information in dispute documentation;
  • Filing multiple identical disputes or complaints.

7.2.6 Confidentiality Violations

  • Disclosing the terms of your Referral Agreement to unauthorized third parties;
  • Sharing referral information or KeyFerrals proprietary information;
  • Attempting to reverse-engineer or replicate KeyFerrals' referral matching process;
  • Publicly discussing disputes or complaints in ways that harm KeyFerrals' reputation.

8. INTELLECTUAL PROPERTY AND SITE CONTENT

8.1 KeyFerrals Ownership

All content on the Site, including text, graphics, logos, images, videos, software, databases, and all other materials ("Content"), are the property of KeyFerrals or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

KeyFerrals grants you a limited, non-exclusive, non-transferable license to access and use the Site for the purpose of purchasing and using the referral services offered. This license does not permit you to:

  • Copy, reproduce, or download Content without authorization;
  • Modify or create derivative works from the Content;
  • Distribute, sell, or commercially exploit the Content;
  • Use the Content for any purpose other than accessing the referral services.

8.3 Your Content

Any content you submit to KeyFerrals (account information, preferences, communications, feedback) remains your property, but you grant KeyFerrals a perpetual, worldwide, royalty-free license to use that content for the purposes of providing the services and improving KeyFerrals' systems.

9. LIMITATION OF LIABILITY AND DISCLAIMERS

9.1 "As Is" Provision

The Site and all Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Referral Quality

KeyFerrals does not warrant that:

  • Any referral will meet your expectations or requirements;
  • Any referral will be responsive or engaged;
  • Any referral will convert into a client or transaction;
  • The quality, accuracy, or completeness of referral information;
  • The Site will be error-free, secure, or uninterrupted.

9.3 Limitation of Damages

To the fullest extent permitted by applicable law, in no event shall KeyFerrals be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services, including:

  • Loss of profit, revenue, or business opportunity;
  • Loss of data or business interruption;
  • Reputational harm;
  • Any damages arising from a referral's conduct or non-performance.

This limitation applies even if KeyFerrals has been advised of the possibility of such damages.

9.4 Your Sole Remedy

Your sole and exclusive remedy for any dispute or claim arising from the Site or Services is to cease using the services and, if applicable, pursue the dispute resolution process outlined in Section 12 of this Terms and in your Referral Agreement.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless KeyFerrals, its officers, employees, agents, and affiliates from any and all claims, damages, liabilities, costs, and expenses (including attorney fees) arising from:

  • Your violation of these Terms or any applicable law;
  • Your misuse of the Site or Services;
  • Your conduct toward referrals or KeyFerrals staff;
  • Your failure to perform your obligations under your Referral Agreement;
  • Any transaction or relationship between you and a referral;
  • Your infringement of any intellectual property rights;
  • Any false or fraudulent information you provide.

11. TERMINATION OF ACCOUNT AND SERVICES

11.1 Termination by KeyFerrals

KeyFerrals may terminate your account and Services, and immediately suspend access to the Site, at any time, for any reason, in its sole discretion, with or without cause or notice.

11.2 Termination for Misconduct

KeyFerrals may immediately terminate your Agreement without notice and without refund where you engage in misconduct, including:

  • Providing false or misleading information;
  • Abusive, offensive, or unprofessional conduct;
  • Violation of applicable laws;
  • Breach of these Terms or your Referral Agreement;
  • Filing a chargeback without following the required process;
  • Fraud or intentional deception.

Under Section 6.1 of your Referral Agreement:

"Keyferrals shall have the absolute and unfettered right, at its sole discretion, to terminate this Agreement with immediate effect, without prior notice and without liability. Upon such termination, any amount(s) already paid by the Agent to Keyferrals shall be deemed forfeited in full."

11.3 Effect of Termination

Upon termination:

  • Your access to the Site is immediately revoked;
  • All referrals are discontinued;
  • No refund of fees is issued (except as specifically provided in the Refund Policy);
  • All referrals provided to you prior to termination remain your responsibility under your Referral Agreement;
  • You remain liable for any outstanding referral fees or other charges.

11.4 Survival

Provisions that by their nature should survive termination (including liability, indemnification, dispute resolution, and intellectual property) will survive termination of your account or this agreement.

12. DISPUTE RESOLUTION AND GOVERNING LAW

12.1 Binding Arbitration

Under Section 7.1 of your Referral Agreement, any disputes arising out of or relating to these Terms, your Referral Agreement, or the services will be resolved through binding arbitration in accordance with the laws of the State of Florida, without regard to conflict of law principles.

12.2 Mediation First

Before pursuing arbitration or litigation, you agree to attempt to resolve the dispute through good-faith negotiation and mediation. You must first contact KeyFerrals at support@keyferrals.com and describe the dispute in detail. KeyFerrals will respond within ten (10) business days. If the dispute is not resolved within thirty (30) days of your initial contact, either party may pursue arbitration.

12.3 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Arbitration proceedings will be conducted under Florida law.

12.4 Jurisdiction

By entering into this agreement, you consent to the exclusive jurisdiction of arbitration as specified in your Referral Agreement and to the jurisdiction of the courts of the State of Florida for any enforcement of arbitration awards or other legal proceedings.

13. MODIFICATIONS TO TERMS

KeyFerrals may update these Terms at any time by posting the updated version on the Site with an updated "Last Updated" date. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

For existing Referral Agreements, material changes to these Terms will apply only to new agreements executed after the effective date of the change, unless you agree in writing to the changes.

14. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15. ENTIRE AGREEMENT

These Terms, together with your Referral Agreement, Refund Policy, Dispute and Chargeback Policy, Communication Policy, and all other policies and documents referenced herein, constitute the entire agreement between you and KeyFerrals regarding your use of the Site and Services, and supersede all prior negotiations, understandings, and agreements, whether written or oral.
